1. Eligibility

4. User Content & Confidential Data

A. Ownership

You retain all rights to documents, files, and data you upload ("User Content"), including any confidential, sensitive, or legally privileged material.

B. License to Provide Services

By submitting User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, and transmit it solely to provide the Services to you, maintain system security, and comply with legal obligations.

C. Confidential & Privileged Data Handling

• We treat all User Content, including attorney-client privileged or work-product-protected materials, as confidential.
• We will not access User Content except: (1) As required to provide and maintain the Services, (2) At your express request (e.g., support, troubleshooting), (3) To comply with legal requirements
• We do not claim ownership of your data and do not use User Content to train any AI models without your explicit consent.
• We implement chain-of-custody protocols, audit logs, and role-based access controls to protect privileged information.

You are responsible for ensuring you have the necessary rights and consents to upload any User Content to the Services.

5. Intellectual Property

All intellectual property rights in the Services (excluding User Content) are owned by or licensed to Marbury AI, Inc. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

6. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

7. Payment & Subscriptions

In the event you purchase our product or services, you authorize us to charge your chosen payment method. All fees are non-refundable except as required by law.

We may change pricing with prior notice, effective at the start of your next billing cycle.

8. Service Availability

We aim to keep the Services available, but we do not guarantee uninterrupted or error-free operation. We may suspend or modify the Services for maintenance, updates, or security purposes.

9. Disclaimers

The Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the fullest extent permitted by law, Marbury AI, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or use, arising from your use or inability to use the Services.

Our total liability for any claims relating to the Services will not exceed the amount paid by you in the twelve (12) months prior to the event giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Marbury AI, Inc., its officers, directors, employees, and agents from any claims, damages, liabilities, costs, or expenses (including attorneys' fees) arising from your use of the Services, your User Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, without notice, if you violate these Terms. Upon termination, your right to use the Services immediately ceases, but our confidentiality obligations regarding your User Content survive.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of Washington State, United States of America, without regard to its conflict of law principles.

Any disputes will be resolved through binding arbitration in Seattle, Washington, except where prohibited by law, in which case disputes will be resolved in the courts of Washington State, United States of America.

14. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes your acceptance of the new Terms.
